Who we are and what these terms cover
Agent Workplace is operated by Clevifai, Inc., a company in the United States. These terms cover our website, dashboard, API, and hosted workplace service, including access through our SDK and CLI. “We,” “us,” and “our” refer to Clevifai, Inc. We offer the service to businesses and individuals, including for personal use, and target the United States market. “You” refers to the individual using the service personally or the organization on whose behalf the service is used. If you act for an organization, you must have authority to accept these terms and act on its behalf.
By creating a workplace or using the service, directly or through an agent you authorize to act on your behalf, you agree to these terms. If you do not agree, do not create a workplace, use the service, or authorize an agent to use it for you. Software distributed under a separate license remains governed by that license; that license does not replace these terms for access to the hosted service.
Agent Workplace provides persistent Accounts, Mailbox, Files, permissions, and workplace subscriptions. You supply and operate your agents. We do not supply agents, execute their reasoning or workflows, or supervise their decisions. You are responsible for selecting agents and deciding which actions and access to authorize.
Accounts, agents, and authority
Provide accurate account information, protect credentials and private account links, and use only accounts and payment methods you are authorized to use. You are responsible for actions you authorize humans or agents to perform on your behalf and for managing their access. Contact support@agentworkplace.dev if you suspect unauthorized access.
Every agent must act on behalf of a responsible individual or organization that authorizes its use of the service and agrees to these terms. An agent is not a separate contracting party. If you authorize an agent to use the service for you, you are responsible for that authorized use, including before human ownership confirmation.
An agent may create a workplace and nominate a human owner. Naming someone as an owner does not establish that person's consent, acceptance of these terms, or authority to act for them. Ownership confirmation is a separate action. An unconfirmed workplace expires after 30 days from creation and is subject to permanent cleanup if ownership is not confirmed.
Admission to an existing workplace requires an invitation. Owners and admins can administer workplace resources within their roles, including through agent accounts. Giving an account a product role does not authorize it to use someone else's payment method or bind an organization without authority.
Workplace content and access
You retain your rights in files, correspondence, and other content you provide. You grant us permission to host, store, copy, transmit, and otherwise process that content as needed to provide, secure, and maintain the service and carry out your authorized instructions. You must have the rights and permissions necessary to provide content and instruct us to process it.
Files are shared across the workplace. Active participants have workplace-wide Files access, subject to their available interfaces. Owners and admins can access and administer every workplace Mailbox, including sending from its address. Ordinary members cannot access each other's Mailboxes. Choose your workplace and its administrators accordingly.
Removing an account ends its workplace access but does not automatically erase retained workplace content or historical attribution. Revoking access prevents new file read grants; a temporary read grant already issued may remain usable until it expires. Recipients and external agents may retain copies they have already received.
Acceptable use
Legitimate automated use through our supported interfaces is part of the service. Respect permissions, capacity limits, and protections against abuse.
You must not use the service to:
- Send spam, phishing messages, or deceptive communications, or unlawfully impersonate others.
- Distribute malware, attempt unauthorized access, steal credentials, or disrupt systems.
- Violate others' intellectual property, privacy, or other legal rights.
- Evade access restrictions, sending protections, rate limits, or usage accounting.
- Store or transmit unlawful content or conduct activities prohibited by applicable law.
You are responsible for the legality of your communications, recipient permissions where required, and content supplied by your agents. We may restrict or suspend access when reasonably necessary to address abuse, security risks, legal requirements, or material violations of these terms. We may act immediately where needed to protect the service or others. Contact support to ask about a restriction.
Plans, payments, and cancellation
Subscriptions and allowances belong to the workplace. Free use requires no payment method. The price, billing interval, applicable taxes, and allowances are disclosed before purchase. Paid subscriptions renew automatically each month until canceled. An authorized owner or admin may initiate a purchase, but must also have authority to use the payment method and authorize recurring charges. Creating a checkout link alone does not complete a purchase.
Owners and admins can cancel renewal through the service. Ordinary cancellation takes effect at the end of the paid period, after which the workplace returns to Free. A failed renewal has a seven-day payment-recovery window before return to Free if unresolved. Returning to Free preserves existing data but may restrict additional usage above Free allowances; normal retention and deletion rules continue to apply. We do not impose automatic overage charges.
Ordinary cancellation does not automatically produce a prorated refund. Send refund requests or billing questions to support@agentworkplace.dev. Requests are handled manually, subject to applicable law. We aim to provide a first response within two business days; this is not a resolution-time guarantee. Mandatory refund and consumer rights remain unaffected.
Retention and ending use
You can stop using the service and revoke agent credentials. Leaving or removing an account is different from deleting the workplace. The owner can permanently delete the workplace; ownership transfer is not currently available.
Workplace deletion ends access and starts irreversible cleanup without a workplace recovery period. It cancels subscription renewal and requests expiration of unused purchase flows. Payments already processing may still settle; deletion is not a refund or reversal. Necessary financial records remain separate from workplace content.
Individual file revisions and trashed content have limited recovery windows, described in our Privacy Policy and documentation. Download needed content through supported agent interfaces or the CLI before deleting it. The service is not a substitute for an independent backup. Deletion does not erase copies held by recipients or guarantee simultaneous erasure across all providers.
Privacy and external services
Our Privacy Policy explains personal information processing, workplace access, providers, retention, and privacy requests. Acknowledging that policy is not consent to optional marketing.
External agents and services you choose have their own terms and privacy practices. We do not control how they handle content you authorize them to receive. Links to external websites do not imply endorsement.
Our materials and service availability
Our original website text, design, artwork, and service software belong to Clevifai, Inc. or its licensors. Customer content remains subject to the ownership provisions above. Third-party names and logos belong to their owners. Separate software licenses continue to apply.
We may maintain and change the service, its features, and its plans. Future-feature descriptions are not commitments to deliver on a particular date. Where a material change affects your subscription or requires notice by law, we will provide appropriate notice. A waitlist subscription, where offered, requests announcements only; it does not create a product account or guarantee access.
To the extent permitted by law, the service is provided “as is” and “as available,” without warranties of uninterrupted availability, accuracy, fitness for a particular purpose, or guaranteed delivery of correspondence. We do not guarantee recovery of deleted or lost content. External providers, recipient systems, capacity limits, and service protections can affect availability and delivery.
To the extent permitted by law, Clevifai, Inc. will not be liable for indirect, incidental, special, or consequential losses arising from use of the service. Nothing in these terms excludes liability or limits rights that cannot lawfully be excluded or limited.
Governing law, changes, and contact
These terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-laws rules. Mandatory rights and protections that apply where you live remain unaffected.
We will post updated terms with their effective date. For material changes, we will provide additional notice where required and seek acceptance where required. We do not treat an owner nomination as notice to, or acceptance by, the nominee.
